These Terms & Conditions (“Terms”) govern your access to and use of the services offered by Swappay (operated by its owning entity) through the website https://swappay.in and any associated mobile applications (collectively, the “Platform”).
By registering on, accessing, or using the Platform or any services offered through it, you (“You”, “Your” or “User”) agree to be bound by these Terms, along with the Privacy Policy and any other policies made available on the Platform.
Please read these Terms carefully before using the Platform. If You do not agree with any part of these Terms, please do not access or use the Platform or its Services.
1. General Terms
These Terms, together with the Privacy Policy and any additional policies published from time to time, constitute a legally binding agreement between You and Swappay. No physical or electronic signature is required to make these Terms enforceable.
Access to and use of the Platform is subject to these Terms and any applicable rules of third-party app stores or service providers, where relevant.
2. Acceptance of the Terms
By using the Platform, You represent and warrant that You are at least 18 years of age and legally competent to enter into a binding contract. If You are using the Platform on behalf of an organization, You confirm that You have the authority to bind such entity to these Terms.
You accept these Terms by accessing or using the Platform. Swappay reserves the right to update or modify these Terms at any time. Continued use of the Platform following any changes constitutes acceptance of the revised Terms.
3. Description of Services
Swappay provides a technology-enabled digital payment and collection platform, including but not limited to:
Utility bill payments under BBPS
Mobile, DTH, and data card recharges
Education fee and institutional fee collections
Insurance premium and subscription payments
Merchant and grocery payment facilitation
Business dashboards, reporting, and reconciliation tools
API-based integrations for payment processing, where applicable
Other value-added or third-party integrated services as introduced from time to time
Swappay may modify, suspend, or discontinue any service or feature without prior notice.
4. Registration and Onboarding
Certain Services require You to register and create an account (“Account”). During onboarding, Swappay may collect personal, business, or compliance-related information including name, contact details, PAN, Aadhaar, or business documents, as required under applicable laws.
You agree to provide accurate, complete, and up-to-date information and are solely responsible for maintaining the confidentiality of your login credentials. Any activity conducted through Your Account shall be deemed to be undertaken by You.
If You suspect unauthorized access to Your Account, You must notify Swappay immediately at info@swappay.in.
5. License to Use the Platform
Subject to compliance with these Terms, Swappay grants You a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for availing the Services.
You shall not copy, reproduce, modify, distribute, reverse-engineer, or exploit any part of the Platform without prior written authorization.
6. Third-Party Service Providers
Swappay relies on third-party service providers including banks, payment gateways, BBPS operators, cloud service providers, and analytics partners. While reasonable care is taken in partner selection, Swappay is not responsible for their acts, omissions, or service disruptions.
Any agreement entered into between You and a third party is independent of Swappay.
7. Fees and Charges
Certain Services may be subject to transaction fees or service charges, which will be disclosed before completion of a transaction. All fees are non-refundable unless otherwise required by law.
Applicable taxes, including GST, shall be borne by You. Swappay reserves the right to revise fees prospectively.
8. Service Availability
Swappay endeavours to ensure uninterrupted service availability; however, Services may be temporarily unavailable due to system maintenance, technical issues, third-party failures, or regulatory requirements. Swappay shall not be liable for such interruptions.
9. Intellectual Property Rights
All intellectual property on the Platform, including software, logos, text, graphics, and trademarks, is owned by or licensed to Swappay and protected under applicable laws.
Unauthorized use, reproduction, or distribution of Platform content is strictly prohibited.
10. Platform Monitoring and Control
Swappay reserves the right to monitor usage, investigate violations, suspend or terminate Accounts, and take necessary actions to protect the Platform, its users, and its legal rights.
11. Third-Party Applications
The Platform may integrate with third-party applications or services. Use of such services is governed by their respective terms and privacy policies. Swappay is not responsible for third-party functionality or data practices.
12. User Representations and Warranties
You represent that:
You are legally eligible to use the Platform
All information provided is true and accurate
You will not misuse the Platform for illegal, fraudulent, or unauthorized purposes
You will comply with applicable laws and regulations
Swappay may suspend or terminate Accounts for misrepresentation or non-compliance.
13. No Lending or Credit Guarantee
Swappay does not provide loans or credit facilities. Any lending or credit-related service is offered by third-party financial institutions and governed by separate agreements between You and such institutions.
14. User Obligations
You agree not to:
Engage in fraudulent, illegal, or prohibited activities
Misuse personal or transactional data
Attempt to disrupt or compromise Platform security
Use bots, scripts, or automated tools without authorization
Circumvent compliance or transaction limits
Violation may result in suspension, termination, or legal action.
15. Transaction-Specific Terms
Swappay is not responsible for disputes between Users and billers, merchants, or service providers. You are responsible for verifying transaction details before confirmation. Settlement timelines depend on third-party systems.
16. Prohibited Activities
You shall not:
Replicate or scrape Platform data
Impersonate others
Upload malicious software
Engage in competitive misuse of the Platform
Swappay may withhold funds or reverse transactions where misuse is suspected.
17. Privacy Policy
Your use of the Platform is governed by Swappay’s Privacy Policy, available on the Platform. By using the Services, You consent to the collection and processing of Your data in accordance with applicable laws in India.
18. Disclaimer and Limitation of Liability
The Platform and Services are provided on an “as is” and “as available” basis. Swappay disclaims all warranties to the maximum extent permitted by law.
Swappay shall not be liable for indirect, incidental, consequential, or punitive damages arising from use of the Platform or Services.
19. Indemnity
You agree to indemnify and hold harmless Swappay, its directors, officers, employees, and partners from any claims, losses, or liabilities arising out of Your breach of these Terms or misuse of the Platform.
20. Force Majeure
Swappay shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, government actions, pandemics, or network failures.
21. Termination
Swappay may suspend or terminate Your Account for violation of these Terms or suspected misuse. You may request Account closure by emailing info@swappay.in.
22. Confidentiality
Both parties agree to maintain confidentiality of non-public information exchanged under these Terms, except where disclosure is required by law.
23. Governing Law and Jurisdiction
These Terms shall be governed by the laws of India. Courts located in Gujarat, India shall have exclusive jurisdiction.
